Software & Service Agreement
Effective Date: March 24, 2026
This Software & Service Agreement ("Agreement") is entered into between SmartChat Innovations LLC ("Company", "we", "our", or "us") and the client ("Client", "you", or "your"). By purchasing or using our services, you agree to the following terms.
1. Scope of Services
SmartChat Innovations LLC provides AI-powered systems and automation tools designed to assist businesses with communication, lead capture, appointment support, and workflow automation.
Services may include:
- AI website chat assistant setup
- AI conversation system configuration
- CRM and automation setup
- Email automation
- Optional SMS automation (add-on)
- Optional AI phone agent integration (add-on)
Services are provided based on the selected plan and scope at the time of purchase.
2. Setup & Implementation
Setup includes initial configuration and implementation of the selected services.
- Setup is performed based on the information provided by the Client
- Timelines may vary depending on complexity and responsiveness
- Additional customization beyond the original scope may require additional fees
3. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information required for setup
- Respond in a timely manner to requests for information or approvals
- Review and test system outputs
- Ensure compliance with applicable laws and regulations
4. Revisions & Changes
Reasonable adjustments may be made during the setup process. However:
- Requests outside the original scope may require additional charges
- Ongoing modifications may be limited based on your plan
- Major system changes may be treated as new work
5. Add-On Services
Optional services such as SMS automation or AI phone agents are not included in standard plans unless explicitly stated.
- Add-ons may involve additional fees or usage-based costs
- Pricing and availability may vary
6. Support
Support is provided based on your selected plan:
- Starter: Email support within 1 business day
- Growth: Email support within 12 business hours
- Pro: Priority support within 4 business hours
Support is limited to assistance with the provided system and does not include unlimited customization or development.
7. No Guarantee of Results
SmartChat Innovations LLC does not guarantee specific outcomes, including leads, conversions, or revenue.
The system is a tool to assist your business and results depend on multiple external factors.
8. Intellectual Property
All systems, processes, and configurations created by SmartChat Innovations LLC remain the intellectual property of the Company.
The Client is granted a limited license to use the system while maintaining an active subscription.
9. Termination
Upon cancellation or termination:
- Access to services may be restricted or removed
- The Company is not obligated to maintain or store system configurations
- Reactivation may require a new setup fee
10. Limitation of Liability
To the maximum extent permitted by law, SmartChat Innovations LLC shall not be liable for any indirect, incidental, or consequential damages.
Total liability is limited to the amount paid within the previous 30 days.
11. Governing Law
This Agreement shall be governed by the laws of the State of North Carolina, United States.
12. Dispute Resolution
Any disputes shall first be attempted to be resolved through good-faith negotiations.
If unresolved, disputes will be settled through binding arbitration in North Carolina, and you waive the right to participate in class actions.
